Terms & Conditions.
Clear expectations. Transparent collaboration. These terms explain the general conditions that apply when you explore our website or engage RYNEX for digital marketing and creative services.
Welcome to RYNEX
These Terms & Conditions ("Terms") describe the general rules for accessing the RYNEX website and using services offered by RYNEX Marketing Agency ("RYNEX", "we", "our" or "us"). Project-specific proposals and signed agreements may include additional terms.
Acceptance of Terms
By accessing this website or enquiring about our services, you agree to use the website lawfully and responsibly.
If you engage RYNEX for a project, the scope, deliverables, fees and timeline may be defined in a separate proposal or written agreement. If that agreement conflicts with these general Terms, the specific agreement will apply to the extent of the conflict.
Our Services
RYNEX may provide digital marketing, website development, search engine optimisation, advertising, social media management, content creation, branding and related creative services.
The exact services provided will depend on the proposal, package or written agreement accepted for the project. Any additional work may require a revised scope, fee or timeline.
Client Responsibilities
Clients should provide accurate information, necessary materials, timely feedback and access required to perform the agreed services.
Clients are responsible for ensuring that the content, images, claims, products and materials they provide may lawfully be used for the intended purpose.
Delays in receiving information, approvals or access may affect delivery timelines. Any significant changes to the project scope should be agreed in writing.
Payments & Refunds
Fees, payment milestones, billing dates and applicable taxes should be set out in the relevant proposal, invoice or written agreement.
Clients should pay invoices by the agreed due dates. Work may be paused where permitted by the applicable agreement if payment remains outstanding.
Refund eligibility depends on the agreed terms, work already completed, third-party costs and applicable law. Any project-specific refund arrangement should be confirmed in writing.
Revisions & Approvals
The number of revisions, review rounds and approval process should be defined in the project scope wherever possible.
Requests that materially change the approved direction, deliverables or project scope may require additional fees or time.
Clients are responsible for reviewing and approving deliverables before publication, launch or use.
Intellectual Property
Ownership and usage rights for project deliverables should be determined by the applicable written agreement and payment terms.
Unless otherwise agreed, each party retains ownership of materials, tools, methods and intellectual property it owned or developed independently before the engagement.
Third-party fonts, software, stock assets, plugins and other licensed materials remain subject to their respective licence terms.
Third-Party Platforms
Some services may rely on third-party platforms, including advertising networks, search engines, social networks, hosting providers, analytics tools and messaging services.
These providers operate under their own terms and policies. RYNEX does not control their availability, policy decisions, pricing or technical changes.
Clients may need to maintain their own accounts, subscriptions and payment methods for certain third-party services.
SEO & Advertising
Search engine rankings, advertising performance, lead volume, conversions and sales can depend on factors outside RYNEX's control.
Unless a specific result is expressly guaranteed in a written agreement, RYNEX does not promise a particular ranking, number of leads, sales volume, conversion rate or advertising approval.
Clients remain responsible for the legality of their products, offers, claims, audience lists and promotional practices. Campaigns should comply with applicable law and platform rules.
Confidentiality
During an engagement, either party may receive non-public business, commercial, technical or operational information from the other party. Such information should be handled with reasonable care and used only for legitimate purposes connected with the engagement.
Confidentiality obligations do not ordinarily apply to information that is publicly available without breach, was lawfully known beforehand, is independently developed or is lawfully received from another source.
Disclosure required by law may be made to the extent legally required. More specific confidentiality obligations in a signed agreement will also apply.
Privacy & Data Protection
Information submitted through enquiries, project communications and service delivery should be handled in accordance with the applicable privacy notice and relevant data protection laws.
Clients are responsible for ensuring they have a lawful basis and any required permissions to share customer information, mailing lists, contact details or other personal data with RYNEX or relevant service providers.
Access to client accounts and information should be limited to what is reasonably necessary for the agreed work. Avoid sending passwords or sensitive credentials through insecure channels.
Limitation of Liability
To the extent permitted by applicable law, neither party will be responsible for indirect or consequential losses arising from an engagement where such exclusion is legally enforceable.
RYNEX is not responsible for independent third-party outages, platform policy changes, unauthorised account actions by others or outcomes that depend on factors outside the agreed services and reasonable control.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law. Any agreed liability caps or specific remedies should be set out in the applicable written contract.
Suspension & Termination
Either party may end a service engagement according to the notice period and termination process set out in the relevant agreement.
Where permitted by the agreement and applicable law, services may be suspended in response to serious non-payment, unlawful instructions, misuse of services or material breaches that remain unresolved after any required notice and opportunity to remedy.
On termination, the parties should settle outstanding amounts and agree on handover of paid-for deliverables, account access and ongoing third-party subscriptions in accordance with the applicable agreement.
Governing Law & Updates
These Terms should be interpreted under the laws applicable to the relevant RYNEX business entity and its valid agreements with clients. The registered entity, jurisdiction and dispute resolution arrangements should be confirmed before publication.
We may update these Terms when business practices, services or legal requirements change. Updated Terms should be published with a revised "Last updated" date.
If any provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
